Key responsibilities
•Participate in international M&A transaction, including due diligence and negotiation
•Provide support for the treasury department, funding, derivates and transactions
•Support in general corporate law
•Define, together with the partners, the assumptions, processes, and standards for Patria’s Legal & Compliance area, and guide and ensure that Business Partners across departments adhere to them.
•Select, hire, and manage local and offshore external law firms, as needed, according to the specific topics.
•Represent Patria before external law firms, regulatory bodies, and self-regulatory organizations.
•Advise the Sales team (local and offshore), Investor Relations, business units, corporate areas, and other departments on legal and compliance matters.
•Participate in and support the Legal & Compliance Committee and other committees in which Patria is involved.
•Participate in due diligence processes conducted by investors, regulators, and service providers.
•Engage with the Executive and Management Committees to discuss strategic and relevant issues.
Requeriments
•Bachelor’s degree in Law; postgraduate studies in Corporate Law or Financial Regulation are a plus.8–10 years of professional experience, preferably within the financial industry, with exposure to fund management companies, brokerage firms, or multinational organizations.
•Strong knowledge of financial regulation, securities markets, CMF requirements, and relevant international frameworks.
•Demonstrated ability to provide legal guidance to senior management and support cross-functional teams.
•Solid leadership skills, with experience coordinating legal staff and projects across multiple jurisdictions.
•Business-oriented mindset, capable of aligning legal advice with organizational objectives.
•Fluent in English, with excellent communication and negotiation skills in corporate environments.
•Proven experience in international M&A transactions, including due diligence and negotiation of complex contracts.
•Practical knowledge of UK law and US law, with experience coordinating external counsel in these jurisdictions.
•Ability to operate strategically and hands-on in cross-border transactions.
